During the six months ended June 30, 2024, the Company issued 9,495,329 shares of its common stock as follows:

 

  · The Company issued 7,062,000 shares of its common stock upon the conversion of $276,000 in convertible notes at $0.03 to $0.05 per share, net of unamortized discount of $149,000.

 

  · The Company issued 433,329 shares of its common stock upon the exercise of warrants at exercise prices ranging from  $0.02 to $0.06 per share for total proceeds of $13,000.
     
  · The Company issued 2,000,000 shares of its common stock for services with a fair value of $140,000 valued at $0.07 per share.
