During the six months ended June 30, 2023, the Company issued 9,745,326 shares of its common stock as follows:

 

  · The Company issued 8,628,664 shares of its common stock upon the conversion of $170,000 in convertible notes at $0.03 to $0.05 per share, net of unamortized discount of $150,000.

 

  · The Company issued 1,116,662 shares of its common stock upon the exercise of warrants of $42,000 valued at $0.02 to $0.04 per share.
