During the year ended December 31, 2023, the Company issued an aggregate of 16,512,375 shares of its common stock as follows:

 

  · The Company issued 15,129,048 shares of its common stock upon the conversion of $646,000 in convertible notes at $0.03 to $0.05 per share, net of unamortized discount of $296,000.

 

  · The Company issued 1,383,327 shares of its common stock upon the exercise of warrants of $52,000, at $0.02 to $0.04 per share.

 

Year Ending December 31, 2022

 

During the year ended December 31, 2022, the Company issued an aggregate of 20,773,874 shares of its common stock as follows:

 

  · The Company issued 6,040,049 shares of its common stock upon the conversion of $178,000 in convertible notes at $0.02 to $0.03 per share, net of unamortized discount of $119,000.

 

  · The Company issued 14,483,825 shares of its common stock upon the exercise of warrants of $542,000, at $$0.03 to $0.04 per share.

 

  · The Company issued 250,000 shares of its common stock upon the exercise of options of $20,000, at $0.08 per share.
